IMPORTANT NOTICE

These Loyalty Program Terms and Conditions explain how the Loyalty Program operates on Nextkt, including how Points are earned, stored, redeemed, protected, adjusted and managed under each Organizer's programme.

The loyalty program is not a general cash rewards program and is not a shared platform-wide currency. It is an organizer-funded loyalty tool. Each Organizer rewards its own customers for returning to that same Organizer. This structure is important because each Organizer funds its own discounts and should not be required to pay for discounts created by another Organizer.

By creating an account, purchasing tickets, earning Points, redeeming Points, viewing Points in your account or otherwise participating in a Loyalty Program, you agree to these Loyalty Program Terms and Conditions.

These Loyalty Program Terms and Conditions should be read together with the Platform's:

If there is any conflict between these Loyalty Terms and a specific Event loyalty notice, the more specific Event notice will apply only for that Event, provided it is lawful and does not remove protections that cannot be waived under applicable law.

1. DEFINITIONS

In these Loyalty Program Terms and Conditions:

"Loyalty Program" means the optional rewards programme an Organizer operates through the Platform under these Loyalty Terms, including its rules, settings, Customer wallets and any benefits offered thereunder. Points are one component of a Loyalty Program; other features or rewards may apply as configured by the Organizer or the Platform.

"Account" means a user account created on the Platform.

"Buyer" means a person who purchases tickets, products, services, upgrades, packages or other items through the Platform.

"Customer" means a Buyer, ticket holder, attendee, account holder, transferee or any other user of the Platform.

"Eligible Order" means an order that qualifies to earn or redeem Points under the applicable Organizer's loyalty settings, these Loyalty Terms and any Event-specific conditions.

"Net Cash Paid" means the final amount of money actually charged to the Customer through an approved payment method on an Eligible Order, after all reductions from redeemed Points, discount codes, vouchers, coupons, promotional codes and other non-cash discounts applied at checkout. Net Cash Paid does not include any portion of the order covered by redeemed Points or promotional discounts rather than cash payment. If no cash is charged because the order is fully covered by Points or other non-cash discounts, Net Cash Paid is zero.

"Event" means any concert, festival, club night, conference, exhibition, show, performance, attraction, cultural event, sports event, private event or other activity listed, promoted or sold through the Platform.

"Event Organizer" or "Organizer" means the promoter, venue, producer, rights holder, event owner, agency, company, individual or other person responsible for organizing, promoting, operating or delivering an Event.

"Organizer Wallet" means the separate Points balance held by a Customer for a specific Organizer.

"Platform" means Nextkt, including its website, mobile application, checkout system, account area, organizer dashboard, APIs and related services.

"Platform Operator", "we", "us" or "our" means Kisum Pte. Ltd..

"Points" means loyalty points issued as part of an Organizer's Loyalty Program through the Platform.

"Redeem" means using Points to reduce the amount payable for an Eligible Order from the same Organizer.

"Reward" means the discount value created when Points are redeemed.

"Transaction" means any order, purchase, refund, cancellation, chargeback, adjustment, redemption or loyalty-related action processed through the Platform.

These definitions are included to make clear that the loyalty program involves three separate roles: the Platform provides the technology, the Organizer funds the loyalty benefit, and the Customer receives a conditional discount opportunity. This distinction is important for legal responsibility, accounting, settlement and customer communication.


2. SCOPE OF THESE LOYALTY TERMS

These Loyalty Terms apply to all Points earned, displayed, adjusted or redeemed through the Platform.

They apply to:

  1. Points earned from purchases;
  2. Points redeemed at checkout;
  3. Points shown in Customer accounts;
  4. Organizer-specific Points wallets;
  5. Organizer loyalty settings;
  6. Platform default loyalty settings;
  7. Refund-related Points adjustments;
  8. Chargeback-related Points adjustments;
  9. Fraud or abuse-related Points adjustments;
  10. Manual Points adjustments;
  11. Loyalty information shown in the buyer account area;
  12. Loyalty information shown in the Organizer dashboard.

These Loyalty Terms do not apply to loyalty programs operated outside the Platform, even if those programs are operated by the same Organizer. For example, if an Organizer also runs a separate offline membership card, WhatsApp reward scheme or third-party rewards program, those benefits are separate unless the Platform expressly states that they are connected.

This separation is necessary because the Platform can only control and verify loyalty activity that happens inside its own systems.


3. PURPOSE OF THE LOYALTY PROGRAM

The loyalty program exists to help Organizers reward Customers who return to their events or purchases.

The commercial purpose is simple: when a Customer buys from an Organizer, that Organizer may choose to give Points as a future discount to encourage the Customer to buy again from the same Organizer.

This matters because the loyalty benefit is funded by the Organizer that receives the commercial benefit of repeat business. The program is not designed to move value between unrelated Organizers, to create a universal wallet, or to create a financial product.

The Platform provides the technical infrastructure so that Organizers can run this type of reward program without building their own points system.


4. LEGAL NATURE OF POINTS

Points are a conditional promotional discount right. They are not cash, electronic money, stored value, legal tender, a bank deposit, a security, a gift card, a financial product or a debt owed by the Platform.

Points cannot be used as money outside the Platform. They cannot be withdrawn, exchanged for cash, used to pay debts, transferred to a bank account or treated as a stored balance.

This classification is important because Points are intended only as a limited discount mechanism. If Points were treated as money or stored value, the program could create financial, regulatory, licensing, tax and accounting obligations that are not intended by the Platform or the Organizers.

By participating in the loyalty program, the Customer acknowledges that Points are only a limited right to receive a discount on eligible future orders from the same Organizer, subject to these Loyalty Terms.


5. POINTS ARE ORGANIZER-SPECIFIC

Points are issued and stored separately for each Organizer.

A Customer may have several Organizer Wallets at the same time. For example:

In this example, the Customer has Points with five different Organizers. The Customer does not have one shared balance of 2,000 spendable Points.

This rule exists because each Organizer funds its own loyalty discounts. If Points from Organizer A could be spent with Organizer B, Organizer B would be giving a discount for loyalty earned from Organizer A. That would create unfair commercial results and settlement obligations between unrelated businesses.

For that reason, Points must stay inside the Organizer Wallet where they were earned.


6. NO COMBINED CROSS-ORGANIZER BALANCE

The Platform may display a total number of Points across different Organizers for convenience, but that total is only a summary view.

A summary total does not mean the Customer can spend all Points together.

For example, if the Customer has:

  • 500 Points with Organizer A;
  • 300 Points with Organizer B;
  • 700 Points with Organizer C;

the Platform may show 1,500 Points across three Organizers. However, the Customer cannot use all 1,500 Points on one order unless that order is eligible across those same Organizer Wallets, which normally it is not.

The reason for this rule is to avoid misleading Customers and to protect Organizers from funding rewards issued by other Organizers. The Platform may therefore label totals as "across organizers", "total across wallets", or similar wording.

The Customer should always check the specific Organizer Wallet before attempting to redeem Points.


7. PLATFORM ROLE

The Platform provides the technology that allows Points to be calculated, recorded, displayed, redeemed and adjusted under each Organizer's Loyalty Program.

The Platform may:

  1. Create Organizer Wallets;
  2. Track Points balances;
  3. Calculate Points earned on orders;
  4. Calculate discounts created by redeemed Points;
  5. Apply Points at checkout;
  6. Reverse Points after refunds;
  7. Adjust Points after chargebacks;
  8. Correct Points after technical errors;
  9. Display Points history;
  10. Provide Organizer settings;
  11. Provide customer support;
  12. Enforce these Loyalty Terms.

The Platform does not fund Organizer Points unless expressly stated in writing. The Platform's role is mainly operational and technical.

This distinction is important because the Organizer receives the commercial benefit of customer loyalty and therefore funds the discount created by its own loyalty program. The Platform may facilitate the discount, but it is not the party promising to organize the Event or provide the Event experience.


8. ORGANIZER ROLE AND RESPONSIBILITY

Each Organizer is responsible for its own loyalty program and the commercial consequences of that program.

The Organizer is responsible for:

  1. Deciding whether to participate in the loyalty program;
  2. Funding discounts created by its own Points;
  3. Selecting future earn rates, unless inheriting platform defaults;
  4. Selecting future redeem values, unless inheriting platform defaults;
  5. Honoring valid Points already issued by that Organizer;
  6. Understanding how Points affect ticket revenue, fees, taxes and settlement;
  7. Ensuring its loyalty program complies with applicable law;
  8. Providing accurate Event and purchase information;
  9. Handling Event-specific disputes connected with its own Events.

This is necessary because the Organizer controls the Event, receives the commercial value of the Customer relationship, and decides how generous its loyalty program should be for future purchases.

The Platform may provide recommended default settings, but the Organizer remains responsible for deciding whether those settings are commercially appropriate for its business.


9. WHO CAN EARN POINTS

Customers with an Account may earn Points when they purchase from an Organizer that has loyalty enabled for eligible purchases.

Points may not be available for:

  1. Guest checkout;
  2. Purchases without an Account;
  3. Free orders;
  4. Orders using certain promotions;
  5. Orders using certain vouchers;
  6. Orders using certain payment methods;
  7. Orders later cancelled or refunded;
  8. Orders flagged for fraud, abuse or chargeback risk;
  9. Orders from Organizers that have not enabled loyalty for future purchases;
  10. Orders excluded by Event-specific rules.

The reason an Account may be required is that Points must be attached to an identifiable Customer wallet. Without an Account, the Platform may not be able to safely store, display, redeem, protect or reverse Points.

The Platform may require login before earning or redeeming Points to prevent fraud, duplicate claims and unauthorized use.


10. AUTOMATIC PARTICIPATION

Customers do not need to complete a separate loyalty registration unless the Platform states otherwise.

If a Customer has an Account and purchases from a participating Organizer, Points may be earned automatically according to the Organizer's loyalty settings.

Automatic participation makes the program easier for Customers because they do not need to scan a card, enter a membership number or opt into a separate system.

However, automatic participation does not mean that every purchase earns Points. Points are still subject to eligibility, payment confirmation, fraud checks, Organizer settings, refund rules and these Loyalty Terms.

A Customer who does not want to use Points may simply choose not to redeem them, or may contact support for account options where available.


11. HOW POINTS ARE EARNED

Points are earned when a Customer completes an Eligible Order from a participating Organizer.

The number of Points earned is calculated using the Organizer's applicable earn rate at the time of purchase.

Unless stated otherwise, Points are calculated only on Net Cash Paid recorded by the Platform for that order. The Customer earns Points on money actually paid, not on the full order total before discounts.

The following amounts do not count toward earning Points:

  1. Any portion of the order covered by redeemed Points;
  2. Any portion of the order covered by a discount code, voucher, coupon, promotional code or other promotional discount;
  3. Any other non-cash reduction applied at checkout instead of cash payment.

If a Customer redeems Points or uses a promotional discount on an order, new Points are earned only on the remaining Net Cash Paid, if any. If Net Cash Paid is zero, no new Points are earned on that order.

Example without discounts:

Net Cash Paid × earn rate = Points earned

If Net Cash Paid is $100 and the earn rate is 10 Points per $1, the Customer earns:

100 × 10 = 1,000 Points

Example with Point redemption:

Order total: $100
Points redeemed: $20 discount
Net Cash Paid: $80
Points earned: 80 × 10 = 800 Points

The $20 covered by redeemed Points does not earn new Points.

The Platform may round Points down to the nearest whole Point to avoid fractional Points and to keep the ledger clear.

This calculation is used so Customers and Organizers can understand how a purchase becomes a reward. It also creates a clear audit trail for refunds, corrections and settlement.


12. EARN RATE

The earn rate determines how many Points a Customer earns for each unit of currency of Net Cash Paid on an Eligible Order.

Each Organizer may either use the platform's default earn rate for its country or market, or set its own future earn rate through the Organizer dashboard.

Earn rates may differ between Organizers because each Organizer has different economics, margins, ticket prices, customer strategy and marketing goals.

For example, a large festival may choose a different earn rate from a small venue because the cost of funding future discounts may be different for each business.

A purchase from one Organizer always uses that Organizer's earn rate. It does not use the earn rate of another Organizer.

The Platform may show the earn rate in simplified language, such as "earn 10 Points for every $1 of Net Cash Paid", so Customers can understand the benefit without needing to read technical formulas.


13. REDEEM VALUE

The redeem value determines the discount created when Points are redeemed.

Example:

1 Point = $0.10 discount

If a Customer redeems 1,000 Points with that Organizer, the discount is:

1,000 × $0.10 = $100 discount

Redeem values may differ between Organizers because each Organizer funds its own discounts and may have different commercial goals.

A Point from Organizer A uses Organizer A's redeem value and cannot use Organizer B's redeem value. This prevents one Organizer's economic settings from affecting another Organizer's revenue.

The Platform may show the redeem value in a simplified way at checkout or in the Customer account area.


14. PLATFORM DEFAULTS AND ORGANIZER OVERRIDES

The Platform may provide default loyalty settings for each country, currency or market.

These defaults are intended to give Organizers a reasonable starting point without requiring them to design a loyalty program from zero.

An Organizer may:

  1. Use the platform default settings;
  2. Set its own future earn rate;
  3. Set its own future redeem value;
  4. Reset to the platform default settings;
  5. Pause future earning, subject to existing Points remaining valid.

Platform defaults are not a guarantee that a particular loyalty rate is suitable for every Organizer. Organizers remain responsible for understanding the commercial impact of their loyalty settings.

If an Organizer chooses to override the default settings, that Organizer is responsible for the financial effect of the rates it chooses.


15. FUTURE CHANGES TO EARN AND REDEEM RATES

Organizers may change their loyalty settings for future purchases.

A change may include increasing or decreasing the future earn rate, increasing or decreasing the future redeem value, switching from platform defaults to Organizer custom settings, or switching from Organizer custom settings back to platform defaults.

However, changes apply only to future Points earned after the change becomes effective.

This rule is important because Customers should be able to rely on the value of Points already earned. If Organizers could reduce the value of existing Points after Customers earned them, the loyalty program could become misleading and unfair.

Organizers should therefore treat rate changes as forward-looking commercial decisions, not as a way to reduce existing obligations.


16. PROTECTION OF EXISTING POINTS

Points already earned by a Customer will not be reduced or devalued merely because an Organizer later changes its loyalty rates.

If a Customer earned Points under a previous redeem value, those Points should remain valid under the value applicable to those Points when they were earned.

This protection exists because Points are part of the benefit offered to the Customer at the time of purchase. Once the Customer has earned valid Points, the Organizer should not retroactively reduce the value of that benefit simply because the Organizer later changes strategy.

The Platform may implement this protection by maintaining ledger records, preserving historical values, applying equivalent discount values, or using another technical method that protects Customers from retroactive devaluation.

This protection does not prevent adjustments required for refunds, chargebacks, fraud, abuse, duplicate credits, technical errors, legal requirements or other legitimate corrections.


17. NO EXPIRY OF POINTS

Valid Points do not expire merely because time passes.

There is no fixed expiration date for valid Points.

This rule gives Customers confidence that their loyalty benefit will remain available for future purchases with the same Organizer. It also avoids confusion where Customers may not know when the Organizer's next Event will take place.

Valid Points remain in the Customer's Organizer Wallet until they are redeemed or legitimately adjusted under these Loyalty Terms.

Points may still be removed or changed for reasons such as refund, chargeback, fraud, abuse, duplicate credit, technical error, account suspension for serious breach, legal requirement or other valid correction.

No-expiry does not mean Points can be converted into cash or used with another Organizer.


18. ORGANIZER CANNOT CANCEL EXISTING VALID POINTS

An Organizer cannot cancel, delete or invalidate already-earned valid Points simply because it no longer wants to offer loyalty benefits.

An Organizer may pause or stop future earning, but valid existing Points must remain redeemable for eligible future orders from the same Organizer, subject to these Loyalty Terms.

This is important because Customers may have made purchases with the reasonable expectation that valid Points would remain available for future discounts. Allowing an Organizer to cancel existing valid Points without cause could be unfair to Customers and damaging to trust in the Platform.

Existing Points may still be adjusted for legitimate reasons, including refund, chargeback, fraud, abuse, duplicate credit, technical error, order correction, legal requirement or misuse.


19. WHEN POINTS ARE CREDITED

Points may be credited only after an order reaches the required confirmed status in the Platform.

The Platform may delay crediting Points if payment is incomplete, fraud checks are pending, the order is under review, the Event has not occurred, the payment method is subject to dispute risk, or technical processing is pending.

The purpose of delayed crediting is to prevent Customers from earning and redeeming Points from orders that may later fail, be reversed, be disputed or be identified as fraudulent.

The Platform may determine when Points become confirmed and available for redemption.

Customers should not assume that Points are available immediately at checkout unless the Platform confirms that they are available.


20. PENDING, CONFIRMED AND ADJUSTED POINTS

The Platform may classify Points in different statuses.

Points may be:

  1. Pending Points, meaning Points expected but not yet confirmed;
  2. Confirmed Points, meaning Points available for redemption;
  3. Redeemed Points, meaning Points already used for a discount;
  4. Adjusted Points, meaning Points added, removed or corrected manually or automatically;
  5. Reversed Points, meaning Points removed or returned because of refund, chargeback, cancellation or correction.

Only confirmed Points may be redeemable.

This status system is necessary because not all transactions are final immediately. Payments can fail, Events can be refunded, chargebacks can happen and technical errors can be discovered later.

By separating pending and confirmed Points, the Platform can protect Customers, Organizers and the Platform from incorrect or unfair loyalty outcomes.


21. HOW POINTS ARE REDEEMED

Points may be redeemed at checkout when the Customer purchases from the same Organizer that issued the Points.

To redeem Points, the Customer must be logged into the relevant Account, have confirmed Points in the relevant Organizer Wallet, purchase an Eligible Order from the same Organizer and select Points redemption at checkout where available.

The Platform will calculate the discount based on the redeem value applicable to the Points being used and the eligible order amount.

Redemption is not automatic unless the Platform expressly offers automatic redemption. This allows the Customer to decide whether to use Points now or save them for a later purchase.

The Platform may refuse redemption where fraud, abuse, technical error, payment risk or policy violation is suspected.


22. REDEMPTION AGAINST THE WHOLE ORDER

Unless the Platform or Organizer states otherwise at checkout, Points may be applied against the whole eligible order total for that Organizer.

This may include ticket price, service fees, booking fees, platform fees, payment fees, delivery fees, taxes, add-ons, upgrades, packages and other eligible amounts included in the order total.

This approach makes the program easier for Customers to understand because Points reduce the amount payable on the order rather than applying only to a narrow part of the purchase.

However, the Platform may exclude certain amounts where required by law, tax rules, invoicing rules, payment provider rules, Organizer settings or technical limitations.

The Platform may apply the discount in a way that complies with tax, accounting and payment processing requirements, even if the Customer sees only one total discount at checkout.


23. REDEMPTION CAPS AND LIMITS

Point redemption may be capped by the Platform or Organizer.

Caps may include the Customer's available Points with that Organizer, the order total, a maximum discount amount, a maximum discount percentage, minimum order value, minimum Points required, Event-specific restrictions, Organizer-specific restrictions, legal restrictions or technical restrictions.

Points cannot create a negative order total. If Points cover the full eligible order total, the Platform may confirm the order without sending the Customer to a payment gateway, subject to fraud checks and eligibility.

Caps are necessary to prevent errors, abuse, negative balances and unintended commercial outcomes. They also help the Organizer manage the financial exposure created by loyalty discounts.

The applicable cap may be shown at checkout or applied automatically by the Platform.


24. POINTS AND DISCOUNT CODES

Points and discount codes cannot be combined on the same order unless the Platform expressly allows it.

A Customer may use either Points or a discount code, voucher, coupon or promotional code.

This rule exists because combining multiple discount mechanisms may create unintended losses, accounting problems, tax issues or abuse of promotions. For example, a Customer could otherwise stack a promo code and Points to reduce an order beyond what the Organizer intended.

The Customer is responsible for choosing which discount option to use.

The Platform may show available options at checkout, but it does not guarantee that the highest possible saving will always be automatically selected.

When a discount code, voucher, coupon or promotional code is used, Points are earned only on Net Cash Paid after that discount is applied. The discounted portion does not earn new Points.


25. PARTIAL AND FULL REDEMPTION

A Customer may be allowed to redeem some or all available Points with the relevant Organizer.

Partial redemption reduces the order total but still requires payment of the remaining balance. New Points are earned only on the Net Cash Paid after partial redemption, not on the portion covered by Points.

Full redemption may reduce the order total to zero if the Customer has enough eligible Points and the Platform allows full coverage. If Net Cash Paid is zero after full redemption, no new Points are earned on that order.

The Platform may require a minimum payable amount where needed for payment processing, tax rules, fraud prevention, settlement or technical reasons.

Partial and full redemption rules are included so the Platform can support different checkout scenarios while still preventing negative totals, unauthorized credits or payment processing issues.


26. NO CASH VALUE

Points have no cash value and cannot be redeemed for cash.

Points cannot be withdrawn, paid out, transferred to a bank account, refunded as money, exchanged for money, used outside the Platform or claimed as a debt against the Platform.

This rule is necessary because Points are designed only as a conditional discount, not as a stored monetary balance.

If a Customer has Points but no eligible future purchase is available from the relevant Organizer, the Customer is not entitled to a cash payment from the Platform.

The Customer's remedy is limited to using valid Points for eligible future purchases from the same Organizer, subject to these Loyalty Terms.


27. NO TRANSFER, SALE, ASSIGNMENT OR EXCHANGE

Points are personal to the Customer's Account and the relevant Organizer Wallet.

Points cannot be sold, transferred, assigned, gifted, pooled, inherited, traded, exchanged with another Customer, moved to another Account or moved to another Organizer Wallet.

This restriction is necessary to prevent fraud, unauthorized resale, loyalty farming, money-like trading and disputes over ownership.

The Platform may cancel or adjust Points involved in unauthorized transfer, sale, trading, pooling or abuse.

If a Customer transfers a Ticket to another person, the Points connected with the original purchase do not automatically transfer unless the Platform expressly states otherwise.


28. NO CROSS-ORGANIZER REDEMPTION

Points can only be redeemed with the same Organizer that issued them.

The Platform does not provide a cross-organizer redemption system and does not settle Points between Organizers.

Organizer A is not responsible for Points issued by Organizer B, and Organizer B is not responsible for Points issued by Organizer A.

This rule is fundamental to the loyalty program because each Organizer funds its own discounts. Cross-organizer redemption would require one Organizer to finance another Organizer's customer rewards or would require complex settlement between unrelated businesses.

For this reason, cross-organizer redemption is not allowed unless the Platform expressly launches a separate program with specific written terms.


29. REFUNDS AND LOYALTY ADJUSTMENTS

If an order is refunded, cancelled, reversed or adjusted, the related Points may also be adjusted.

The Platform may return Points that were redeemed on the refunded order and may remove Points that were earned from the refunded order.

For example, if a Customer redeemed 500 Points on an order and that order is refunded, the 500 Points may be returned to the relevant Organizer Wallet. If the Customer earned 300 Points from an order and that order is refunded, the 300 Points may be removed because the qualifying purchase no longer stands.

For partial refunds, the Platform may make proportional or reasonable adjustments based on the refunded amount and the original loyalty calculation.

This rule ensures that Customers are treated fairly while also preventing Customers from keeping Points generated by purchases that were refunded or reversed.


30. CANCELLED, POSTPONED OR RESCHEDULED EVENTS

If an Event is cancelled, postponed, rescheduled or moved, Points will be handled according to the Platform's Refund Policy, Purchase Policy, these Loyalty Terms and the relevant Event policy.

If a refund is issued, redeemed Points may be returned and earned Points from the refunded order may be removed.

If the Ticket remains valid for a rescheduled or moved Event, Points may remain unchanged unless a refund, cancellation, exchange or other adjustment occurs.

This approach follows the commercial reality of the order. If the Customer keeps the Ticket and the Event still proceeds, the purchase may still be eligible for Points. If the purchase is refunded, the loyalty benefit should also be reversed or corrected.

The Platform may handle credits, vouchers or exchanges differently depending on the Event policy and the Organizer's instructions.


31. CHARGEBACKS AND PAYMENT DISPUTES

If a Customer initiates a chargeback, payment dispute, payment reversal or bank recall, the Platform may suspend, remove, return or adjust Points connected with the disputed order.

The Platform may also cancel Tickets, suspend the Customer Account, block future redemption, provide loyalty records to payment providers and treat misuse as fraud or abuse.

This rule is necessary because chargebacks can reverse the payment that created the Points. If a Customer receives Points from an order and then disputes the payment, the Customer should not also keep the loyalty benefit from that order.

Customers must not use chargebacks to bypass the Platform's Refund Policy, Purchase Policy or these Loyalty Terms.

If the dispute is resolved in the Customer's favor and the Platform determines that Points should be restored, the Platform may restore or adjust Points accordingly.


32. FRAUD, ABUSE AND MISUSE

The Platform may suspend, cancel, reverse or adjust Points if it suspects fraud, abuse or misuse.

Examples include fraudulent purchases, stolen payment methods, chargeback abuse, fake Accounts, bot activity, ticket scalping, multiple Accounts used to abuse loyalty, self-dealing, collusion, unauthorized resale, refund abuse, voucher abuse, technical manipulation, exploiting errors or any breach of Platform terms.

This rule protects the Platform, Organizers and genuine Customers. Without fraud controls, loyalty programs can be exploited to create artificial discounts, drain Organizer-funded benefits or generate unfair advantages.

The Platform is not required to disclose fraud detection methods because doing so could help bad actors avoid detection.

The Platform may require identity verification before allowing Points to be redeemed or restored.


33. MANUAL ADJUSTMENTS

The Platform may manually adjust Points where appropriate.

Manual adjustments may be made for customer support goodwill, technical errors, duplicate credits, refund corrections, chargeback corrections, fraud prevention, Organizer-approved compensation, Event changes, system migrations, legal corrections, accounting corrections, mistaken redemption or failed redemption.

Manual adjustments may increase or decrease a Points balance.

This power is necessary because not every loyalty situation can be handled automatically. Human review may be needed to correct unfair results, implement Organizer-approved compensation or fix technical issues.

Manual adjustment records may appear in the Customer's loyalty history so that the Customer can understand how the balance changed.


34. TECHNICAL ERRORS AND CORRECTIONS

The Platform may correct loyalty errors at any time.

Errors may include incorrect earn rates, incorrect redeem values, duplicate Points, missing Points, incorrect Organizer Wallets, incorrect refund reversals, incorrect order totals, system outages, rounding errors, currency calculation errors, ledger display errors or checkout errors.

If an error gives a Customer more Points or discount than intended, the Platform may reverse or correct the error. If an error gives a Customer fewer Points or less discount than intended, the Platform may correct the balance where reasonably verified.

This clause is necessary because loyalty calculations depend on software, payment data, order data, Organizer settings and refund logic. Errors can happen, and the Platform must be able to correct them to keep the system accurate and fair.

A temporary display error does not create a permanent right to Points or discounts.


35. ACCOUNT CLOSURE AND SUSPENSION

If a Customer closes an Account, the Customer may lose access to Points connected with that Account.

If an Account is suspended for fraud, abuse, chargebacks, illegal activity or serious breach of Platform terms, the Platform may freeze, suspend or cancel Points.

If an Account is temporarily suspended for verification or security review, Points may be frozen until the review is completed.

This is necessary because Points are attached to an Account and must be protected against unauthorized access, fraud and misuse.

The Platform may retain loyalty records after account closure where required for legal, tax, accounting, fraud prevention, dispute, audit or compliance purposes.


36. ORGANIZER INACTIVITY OR DEPARTURE FROM THE PLATFORM

If an Organizer stops selling tickets on the Platform, pauses events, becomes inactive or leaves the Platform, existing valid Points from that Organizer do not expire merely because of inactivity.

However, Points can only be redeemed against Eligible Orders from the same Organizer through the Platform.

If the Organizer has no eligible future orders available on the Platform, the Customer may not be able to redeem those Points until the Organizer offers eligible future orders.

The Platform is not required to pay cash, substitute another Organizer's Points or provide a replacement reward because an Organizer becomes inactive, leaves the Platform or has no eligible events.

This rule is necessary because the Platform cannot force an Organizer to create future Events or fund alternative rewards outside the Organizer's own program.


37. MEMBERSHIP LEVELS AND BADGES

The Platform may display membership levels, badges or milestones such as Silver, Gold, Platinum, Elite or similar labels.

Unless expressly stated otherwise, these levels are cosmetic and informational only.

They may help Customers understand their loyalty history, but they do not automatically create guaranteed benefits, priority access, special rights, cash value, refund rights, entry rights or legal entitlement to perks.

This clause is important because badges can be motivational, but they should not be misunderstood as a separate paid membership or guaranteed benefit program.

The real redeemable value is the Customer's valid Points balance in each Organizer Wallet.


38. BUYER WALLET DISPLAY

The Platform may show loyalty information in the Customer account area.

The display may include Organizer Wallets, Points balance by Organizer, lifetime earned Points, recent activity, earned Points, redeemed Points, adjusted Points, Organizer names, available redemption options and a roll-up total across Organizers.

Any roll-up total is for convenience only and does not create one combined spendable balance.

This display rule is necessary to avoid misleading Customers. A Customer may have a high total number of Points across several Organizers, but only the Points in the relevant Organizer Wallet can be used for that Organizer's order.

The Platform may change the display format to make this clearer, including showing separate cards for each Organizer Wallet.


39. ORGANIZER DASHBOARD AND SETTINGS

Organizers may manage loyalty settings through the Organizer dashboard, subject to Platform permissions and available features.

Organizer settings may include loyalty enabled status for future orders, future earn rate, future redeem value, platform default inheritance, Organizer override, reset to platform default, loyalty program status and customer activity reports.

Organizers must not use settings to retroactively devalue valid Points already earned.

The Organizer is responsible for understanding the commercial effect of its loyalty settings before saving them.

This clause is necessary because dashboard settings can affect real discounts and future revenue. The Platform may provide examples and defaults, but the Organizer must make its own business decision.


40. TAXES, FEES, ACCOUNTING AND SETTLEMENT

Points earned or redeemed under a Loyalty Program may affect pricing, taxes, fees, invoices, receipts, settlements and accounting.

Points are earned on Net Cash Paid, not on amounts covered by redeemed Points or promotional discounts. Redemption may still apply against the whole eligible order total, subject to applicable law, payment provider rules and technical requirements.

Organizers are responsible for their own tax, accounting and reporting obligations related to loyalty discounts.

The Platform does not provide tax, legal or accounting advice.

This clause is important because loyalty discounts may affect how revenue is reported, how taxes are calculated and how Organizer payouts are settled.

The Platform may structure the discount calculation in a way that complies with tax, payment processing, invoicing and settlement requirements, even if the Customer sees only a simplified discount at checkout.


41. PRIVACY AND DATA USE

The Platform may process loyalty-related Personal Data to operate the loyalty program.

This may include Account information, purchase history, Organizer Wallet balances, Points earned, Points redeemed, ledger activity, refund adjustments, chargeback adjustments, fraud signals and customer support records.

Loyalty data may be shared with the relevant Organizer where necessary for the loyalty program, customer support, reporting, fraud prevention, settlement, accounting or legal compliance.

This is necessary because the Organizer needs to understand the loyalty discounts it funds, while the Platform needs to maintain accurate records for Customers, refunds, disputes and fraud prevention.

Personal Data is handled according to the Platform's Privacy Policy.


42. PLATFORM CHANGES TO THE LOYALTY PROGRAM

The Platform may update, improve, suspend or modify loyalty features.

Changes may include user interface changes, dashboard changes, calculation improvements, fraud prevention rules, redemption flow changes, wallet display updates, reporting tools, technical migrations, legal compliance updates and country default updates.

Platform changes must not be used to retroactively devalue valid existing Points, except where required for refund, chargeback, fraud, abuse, duplicate credit, technical error, legal compliance, security or other legitimate correction.

This clause gives the Platform flexibility to improve the system while protecting Customers against unfair retroactive changes.

The Platform may discontinue future loyalty functionality, but valid existing Points should remain redeemable against eligible future orders from the same Organizer where technically and legally possible.


43. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Platform is not liable for Organizer changes to future loyalty settings, Organizer inactivity, Organizer failure to offer future eligible orders, Organizer failure to fund loyalty discounts, Customer inability to combine Points across Organizers, loss of cosmetic membership status, Customer misunderstanding of roll-up totals, unauthorized Account access, Points lost due to fraud or abuse, temporary display errors, payment provider issues or personal expectations about future rewards.

This limitation is necessary because the Platform provides the technology, while Organizers control their Events and fund their own loyalty programs.

The Platform's maximum liability for loyalty-related claims shall not exceed the Platform fees actually retained by the Platform in connection with the affected transaction, unless applicable law requires otherwise.

Nothing in this section excludes liability that cannot be excluded under applicable law.


44. LEGAL RIGHTS

Nothing in these Loyalty Terms excludes, restricts or modifies any consumer right, guarantee, warranty, remedy or liability that cannot be excluded under applicable law.

Where applicable law requires a different outcome, the Platform and Organizer will comply with applicable legal requirements.

Where the law permits limitations, these Loyalty Terms apply to the maximum extent permitted.

This clause is included to ensure that the Loyalty Terms remain enforceable while respecting mandatory consumer protection rules.


45. CHANGES TO THESE LOYALTY TERMS

The Platform may update these Loyalty Terms from time to time.

Changes may apply immediately where they relate to fraud prevention, security, technical corrections, legal compliance, clarification, Platform operation or prevention of abuse.

Changes will not retroactively devalue valid Points already earned, except where required for refund, chargeback, fraud, abuse, duplicate credit, technical error, legal requirement or other legitimate correction.

This approach allows the Platform to maintain and improve the loyalty program while protecting Customers from unfair retroactive changes.

The updated version will be posted on the Platform with a new "Last Updated" date.

Support communications do not amend these Loyalty Terms unless confirmed in writing by an authorized officer of the Platform Operator.

This rule is necessary because support teams may explain how the program works, but only authorized written changes can modify the legal terms.


47. SHORT CUSTOMER NOTICE

The following notice may be displayed in the Customer account area or checkout:

Points under each Organizer's Loyalty Program are earned and redeemed separately for that Organizer. Points from one Organizer cannot be combined with or used for another Organizer because each Organizer funds its own rewards. You earn Points only on Net Cash Paid — the amount actually charged after any Point redemption or promotional discount. Amounts covered by redeemed Points or promo codes do not earn new Points. Points do not expire. Future changes to an Organizer's loyalty rates apply only to future Points and do not reduce the value of Points you already earned. Points have no cash value and can only be used as a discount on eligible future orders from the same Organizer.


48. ORGANIZER DASHBOARD NOTICE

The following notice may be displayed in the Organizer dashboard:

Your loyalty program is funded by your organization. Points earned by your customers are stored in wallets specific to your organization and may be redeemed only against eligible future orders from your organization. Customers earn Points only on Net Cash Paid after any Point redemption or promotional discount on that order. You may change future earn and redeem rates, but changes apply only to future Points and must not devalue valid Points already earned. You may pause future earning, but existing valid Points remain redeemable for eligible future orders from your organization. This structure protects your organization from funding discounts issued by other organizers and protects customers from retroactive changes.
